To consider and approve Borrowing/raising funds by issue of Secured and/or unsecured non-convertible debentures and/or non-convertible subordinated debt Tier-II debentures, in terms of Section 42 of the Companies Act, 2013 read with relevant rules and Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021 upto an amount not exceeding Rs.5,000 Crore on Private Placement basis as approved by the members at the Annual General Meeting (AGM) held on July 29, 2026; and2. To consider and approve the Key Information Document (KID) in connection with the proposed issuance of Secured, Redeemable, Non-Cumulative, Taxable Non-Convertible Debentures aggregating up to ₹900 Crore (Tranche-I) on a private placement basis.
